Notes

The Nasdaq-listed systems company that designs, builds and then runs AI and HPC compute clusters for other people, through its Penguin Computing arm, alongside an Integrated Memory segment (SMART Modular) that makes DRAM modules and an Optimized LED business. It is the integrator layer the map had no node for: the party that takes GPUs, memory and networking and hands a customer a working cluster plus managed services. SK HYNIX disclosed a 9.1% beneficial stake on 2026-11-03 in a Schedule 13D: 200,000 convertible preferred shares held by SHIFTIX1 LLC, an indirectly wholly owned subsidiary of HYAICO Corporation, itself majority owned by SK hynix, bought on 2026-10-29 under a stock transfer agreement dated 2026-07-27 from Astra AI Infra LLC, an SK Telecom special purpose vehicle that had held the shares since December 2024. It is a secondary purchase, so the money went to SK Telecom's vehicle rather than to Penguin. Relays of the filing put the price at about $377.2M (roughly KRW510B) against a $200M accumulated stated value and a $32.81 conversion price at issuance, and the investor agreement gives the SK hynix side the right to nominate one director, two if the board reaches twelve, while it holds at least 5% of the common stock. HYAICO is SK hynix's new US AI investment vehicle, chaired by Chey Tae-won, with a stated ceiling of up to $10B. The mark is the market cap and belongs to the ticker feed; the figure carried on admission was read off a quote page at the 2026-11-04 close.
