The DOJ opened an antitrust probe into that deal in Sep 2026, and on 2026-10-02 two former Groq engineers sued the board in the Delaware Court of Chancery, alleging the transaction was an acquisition in all but name that squeezed stockholders out at a lowball price without the stockholder vote one would have required; the reported structure is a $17B licence to the company plus a separate ~$3B NVIDIA stock bonus pool for the engineers who moved, which is where the ~$20B headline comes from. Groq calls the suit meritless and says the agreement delivered exceptional value. $350M Series A at $3.5B led by Disruptive, NVIDIA participating - half its 2025 peak.
