Designs custom AI accelerators for hyperscalers; the quiet second-biggest winner. Anthropic's reported IPO prospectus (2026-10-01) discloses that Broadcom has agreed to lend Anthropic up to $42B via convertible notes - sized at roughly a third of a five-year, $125.2B commitment for TPU computing capacity on which Broadcom is the lessor, convertible into Anthropic equity, with Broadcom retaining the option to bring in a financing partner. That makes Broadcom simultaneously Anthropic's chip supplier, its compute lessor and its lender, and the filing itself flags the potential conflicts of interest; Anthropic is expected to become Broadcom's largest compute customer in 2027 as next-generation TPU capacity comes online. Bloomberg reported on 2026-10-02 that Broadcom's Wall Street syndicate has begun amassing $60B of fresh financing to fund chips for Anthropic and others: a $42B Class A senior-secured tranche that Bank of America, Citigroup and Morgan Stanley are poised to syndicate, plus an $18B Class B subordinated tranche led by Blackstone, which plans to commit $9B of it across its funds and syndicate the rest. That is the financing partner the prospectus said Broadcom could bring in, so the $42B is the same commitment being placed rather than a second one. THE TERMS ARE NOW IN BROADCOM'S OWN FILED 10-Q, which is a stronger footing than the unfiled Anthropic prospectus they were first reported from: the quarterly report for the period ended 2026-08-02 says that in connection with lease agreements that enable access to compute capacity, "our customer may, under certain circumstances and if needed, issue to us convertible promissory notes up to an aggregate principal amount of $42 billion", restricted to the customer's lease obligations, and that no notes had been issued as of 2026-08-02. The filing does NOT name Anthropic - the identification rests on Reuters' read of Anthropic's prospectus (2026-10-01) - so the amount and the structure are now filing-grade while the counterparty is still reporting-grade.
